DEFINITIONS

In these Terms and Conditions, unless the context otherwise requires:

• "Card or Bank Card" means a payment Card, device or any other electronic or virtual product or account, which is capable of completing a payment Transaction with a Merchant.
• "Griner" means Griner Finance Ltd, a company registered in Cyprus, with registration number ΗΕ 346624 which has its registered office at Archiepiskopou Makariou III, 82, Floor 1, Mesa Geitonia, 4003, Limassol, Cyprus.
• "Linked Sites" means any links to other websites contained in the Website.
• "Merchant" means any entity or individual who has registered with Griner and accepts Cards from cardholders in payments for the sale of goods and/or services.
• "Personal Information" means any information relating to an identifiable or identifiable natural person ("data subject"). An identifiable natural person is one who can be identified, directly or indirectly, in particular by reference to an identifier such as a name an identification number, location data, an online identifier or to one or more factors specific to the physical, physiological, genetic, mental, economic, cultural or social identity of that natural person.
• "Terms and Conditions" means these terms and conditions of use as may be amended, extended, or replaced from time to time by Griner.
• "Transaction or Card Transaction" refers to the Transaction between a cardholder and a Merchant for the sale or rental of goods or the provision of services or any refund that results in a Transaction receipt.
• "User" means any person having access to the Website and includes cardholders who buy goods or services from Merchants.
• "Website" means the website named www.griner.io

In these Terms and Conditions, references to persons shall include legal entities (unless otherwise specified therein and unless otherwise provided by any applicable law), references to the singular shall include the plural and vice versa and references to any gender shall include all genders.

AUTHORIZATION TO CHARGE YOUR CARD

Upon receiving authorization from the issuer of your Card, Griner will process the Transaction on your behalf. When you use your Card, you will be transacting directly with the Merchant and not Griner. Griner will simply process the Transaction through its secure internet payment system. The name of the Merchant, and not Griner, will appear on your Card statement. The Merchant is our customer.

You hereby authorize and instruct Griner to act accordingly for the execution of Transactions that are received from you, through the Website.

EXECUTION OF TRANSACTIONS

It is Griner's intention that orders for payment Transactions received through the Website be processed as quickly as practicable, to the extent possible.

Griner bears no responsibility whatsoever as a result of problems to the operation of the telecommunications network which does not fall within its jurisdiction or control and may have a negative impact on the proper and timely execution of the order transmitted. In the event that the User is unable to access certain digital service channels of Griner due to telecommunications failure and/or due to force majeure events, the User may have to use alternative channels to perform any payment to participating merchants.

OBLIGATIONS OF GRINER AND THE USER

The User shall provide and maintain at his own expense, telephone, personal computer, or other equipment necessary to access the Website and shall ensure that such equipment satisfies all standard technical and security requirements and/or any other requirements that may be specified by Griner from time to time.

Griner may at any time and at its absolute discretion delay and/or suspend and/or terminate and/or refuse the execution of any Transaction pending the completion of all necessary and/or essential checks related to matters of regulatory compliance and/or money laundering and/or financial fraud and/or legislation. Griner shall have no obligation to give any notice in respect of the above if such notice is contrary to objectively justified security reasons or is prohibited by other relevant Cyprus or EU legislation.

Griner will not be liable for any damage and/or loss suffered by the User as a result of the delay and/or suspension and/or termination and/or refusal to execute any Transaction for the above-mentioned reasons.

Griner will not be liable for any inaccurate and/or incomplete and/or insufficient information which has been stated/declared by the User through the Website in relation to the execution of any Transaction. Consequently, Griner will not be liable for any damage and/or loss by the User as a result of such acts.

Griner may at any time and at its absolute discretion extend or limit the services offered by and/or decide the hours and days in which the Website can be used.

The User shall be obliged to use the Website according to these Terms and Conditions. Once the User receives access to the Website, he shall be responsible for the safe-keeping of his account details such as his email address and password and any other log-in details that he may be given by the Website. He shall also be responsible for the prevention of any fraudulent use thereof and should undertake all necessary actions for their safety. Griner shall bear no liability for any unauthorised access to the User's account.

OTHER SERVICES

The User acknowledges and agrees that by using the Website, any transactions initiated or carried out using the Card associated by the User with their account across various channels, will be accessible through the platform in a consolidated view. This includes, but is not limited to, transactions conducted via online channels, mobile applications, or any other authorized methods. The platform will display transaction details such as date, time, amount, and merchant information, providing you with a comprehensive overview of your Card activity. By continuing to use the platform, you expressly consent to the visibility and accessibility of your Card transactions through the platform's interface. It is emphasized that the safety of your account details in order to prevent unauthorized access to your account is crucial.

DISCLAIMERS OF WARRANTIES

All goods and services purchased through Griner are sold "as is" by the Merchant unless the Merchant has indicated otherwise. Griner disclaims all liability and responsibility for the quality and/or availability and/or quantity and/or delivery of the goods or services and you agree to purchase such goods and services purchased through the Website at your own risk.

Any business logo, sign, trademark of the Merchant or any Merchant's identifying material produced and/or submitted to Griner by the Merchant to be imaged on or appear at the Website in order to facilitate the submission of a payment for the benefit of the Merchant, shall be the sole and exclusive responsibility of the Merchant. The Merchant shall be solely liable for the accuracy and/or lawfulness of any text, logo and/or information provided to the Website regarding the description or nature of his business entity, organisation and/or his business activities as well as for any violation and/or infringement of applicable legislative provisions and/or of the applicable law in respect of the above. Griner disclaims all liability and responsibility in respect of any infringement of such applicable legislative provisions in this respect. By accessing and using the website of the Website you agree and accept that you are responsible to choose the appropriate and correct Merchant in order to perform any such payment.

INTELLECTUAL PROPERTY RIGHTS

All the information on this Website including all images of Griner is the copyrighted material of Griner except as otherwise indicated. Copying, downloading, republishing, distributing, or reproducing any of the information on this Website is prohibited without the prior written consent of Griner as this constitutes and remains, at all times, the intellectual property of Griner.

PERSONAL DATA

Griner is committed to the protection, in the highest degree possible, of the Personal Data of the Users of this Website and undertakes to lawfully process these data in accordance with and pursuant to the local law on data protection and the EU General Data Protection Regulation (EU) 2016/679 (GDPR) on the protection of natural persons with regard to the processing of personal data and on the free movement of such data as amended from time to time. Griner further undertakes not to disclose the personal data of the Users of this Website unless such disclosure is required by Law or if Users provide their written consent.

When Personal Information such as Card details are transmitted these are protected through the use of encryption such as the Secure Socket Layer (SSL) protocol.

It is the User's responsibility to ensure that their contact information, as registered in the platform, is kept accurate and up-to-date.

REFUNDS, EXCHANGES AND ENQUIRIES

Should you wish to conduct an exchange, refund or return of any goods or services purchased through the Website or if you have any questions regarding such goods or services you should contact directly the Merchant.

FORCE MAJEURE AND EVENTS BEYOND OUR REASONABLE CONTROL

Griner will not be held responsible for any delay or failure to comply with our obligations under these Terms and Conditions if the delay and/or failure arises from any cause which is beyond our reasonable control, including natural disasters, war or terrorist acts, industrial disputes, strikes, the dropout or non-functioning of transfer or communications facilities of clearing or settlement organizations, power outages, legislation and regulations from national, foreign and international administrative, civil or judicial authorities. If a case of force majeure arises, Griner will take the actions and measures that are reasonably necessary to limit the negative consequences of such a situation.
